International Creative Management, Los Angeles. In part: "Reference is hereby made to the
following exclusive agency agreement between us...Your signature in the space provided
below will confirm the further agreement between us...Your representation of the
undersigned shall be limited to the United States and Canada...the new agency
agreement shall apply solely to the field of personal appearances...the new agency
agreement shall not apply, unless expressly agreed upon between us, to any other
activities such as but not limited to phonograph records, motion pictures, television,
radio, legitimate stage, writing and composing. In regard to our employment in such
situations, your commission shall be 10% of our gross compensation...In the event that
your employment of both Herb Spar and Chip Rachlin is terminated by you, we shall
have the right to terminate the new agency agreement...we shall be allowed to deduct
from the gross compensation received by us an amount equal to the out of pocket monies
for which we are not otherwise reimbursed which we are obligated to pay for organ costs
and in connection with the special sound and lighting effects including direct video
projection used in our performances. In addition we shall be allowed to deduct from your
commissions an amount equal to our actual costs for publicity photographs,
biographies and other promotional costs incurred in connection with our personal
appearances hereunder up to a maximum yearly total of $1,500." Also signed by a

2. Signed the year before the Beach Boys, who did not release any albums of new
material between 1973-1976, would turn to former member and founder Brian Wilson,
who wrote the songs for their 1976 album, 15 Big Ones. Despite their lack of new
material, the Beach Boys embarked on a successful concert tour with Chicago in 1975.
The groups sang each other's material, including their collaboration of Chicago's hit,
"Wishing You Were Here", which they had released the previous year. HERB SPAR
ran the Millard Agency in New York. The agency represented such acts as Billy Joel,
Janis Joplin and the Holding Company and the Beach Boys. CHIP RACHLIN, a
booking agent and manager, handled such acts as the Rolling Stones, Billy Joel and the
Beach Boys. Rachlin later produced the 2001 special, An All-Star Tribute to Brian Wilson.
CARL DEAN WILSON (1946-1998) was the youngest of the three brothers who
formed the original Beach Boys. Formed by brother Brian Wilson, the group also included
brother DENNIS WILSON (1944-1983), cousin MIKE LOVE and college friend, Al
Jardine (Jardine's name is listed on this contract but he did not sign). Their first song,
"Surfin'", which captured the California scene, was released to popular reviews, and a string
of hits, most written by Brian and Love, followed, including "California Girls", "Surfin'
USA", "Surfer Girl", "Little Deuce Coupe", "Don't Worry Baby", "Wouldn't It Be Nice", "God
Only Knows", "I Get Around", "Help Me, Rhonda" and "Good Vibrations". The group's lead
guitarist, Carl became a strong vocalist, singing lead on such songs as "God Only Knows"
and "Good Vibrations". When Brian retired from the stage in 1965, Carl became the leader of
the group. Carl, who released two solo albums in the 1980s before reuniting with the Beach
Boys, also produced records for other artists. Diagnosed with cancer in 1996, he continued to
perform through the Beach Boys' 1997 summer tour. Lightly creased with folds, not at
signatures. Two file holes and staple holes at upper blank margins. Fine condition.
